These We Engage Terms and Conditions (the “Terms”) govern website building and maintenance (the “Services”) provided by The N2 Company d/b/a N2 Digital (“N2 Digital”), a Delaware corporation, to its clients. These Terms are incorporated into and form part of our Digital Marketing General Terms and Conditions (“General Terms of Service”). The Services are offered as a managed solution combining technology with services to facilitate effective business websites using third-party platforms and technology providers (each a “Service Provider”). Capitalized terms not defined here have the meaning assigned in the General Terms of Services.
The terms “we”, “us” or “our” shall refer to N2 Digital. The terms “you”, “your”, or “client” shall refer to any individual or entity receiving the Services under these Terms.
By using the Services, Client agrees to comply with these Terms, as well as any applicable policies, guidelines, and regulations imposed by the relevant Service Provider or Third Party Site. We reserve the right to modify these Terms at any time, with changes effective upon posting online. Continued use of the Services after such changes or modifications constitutes acceptance of the updated Terms.
N2 Digital will provide the Services listed in the Order Form, including building and publishing a website for your business (the “Website”). The Website is provided as part of an ongoing managed service and not as a standalone deliverable. The Website will be created using predefined templates and available customization options (i.e., colors, images, and text), subject to the design and feature limitations of the applicable Service Provider. Websites are built, hosted, and maintained on third-party platforms, and Client acknowledges that use of the Website is subject to the terms, policies, and availability of such providers. Custom development beyond available features is not be supported. The Services do not include photo, video, or image editing.
Pricing for the Services may vary based on bundled offerings or promotional programs (e.g., standalone pricing or bundled pricing with other N2 Digital services), as specified in the applicable Order Form. Any one-time setup fees are non-refundable unless otherwise expressly stated.
For Order Forms listing Web Engage, N2 Digital will create a Website using images provided by you or stock images from third parties which are subject to Third Party Terms. If you request that N2 Digital use images or other content provided by you, you are solely responsible for obtaining all necessary permissions, approvals, and any required credit or attribution for the Website’s use of such materials. Additionally, all client-provided images must be of suitable quality for web display, as determined by N2 Digital in its sole discretion. N2 Digital will not edit, enhance, or modify any images, and it is your responsibility to provide content in a ready-to-use format.
Unless otherwise specified in the applicable Order Form, the Services include up to one (1) hour per month of Website content updates and revisions. Any additional time requested by Client will be billed at N2 Digital’s then-current hourly rate, as set forth in the Order Form or otherwise communicated to Client. N2 Digital reserves the right to defer or decline additional update requests until Client approves applicable additional fees.
Client is responsible for domain registration and renewal unless otherwise agreed in writing. If N2 Digital registers a domain on Client’s behalf, ownership may be transferred upon request, subject to applicable fees and Client’s satisfaction of any minimum service requirements set forth in these Terms.
Hosting services are provided by the Service Provider, and any disruptions, outages, or changes to hosting terms are outside N2 Digital’s control. Client acknowledges that the Website is hosted within the Service Provider’s platform, and continued operation of the Website is subject to the terms, policies, and availability of such Service Provider.
If Client discontinues the Services, Client may request (i) continued hosting of the Website by the Service Provider or (ii) a copy of Website content, in each case subject to Service Provider limitations and requested prior to the effective date of termination. Notwithstanding anything to the contrary in the General Terms of Service, including any provision regarding ownership of deliverables, N2 Digital shall have no obligation to provide a transferable version of the Website or Website content unless (a) Client has maintained the Services for a minimum of twelve (12) consecutive months and (b) Client has paid all amounts due under the applicable Order Form.
If Client satisfies the foregoing requirements, any transfer or delivery of Website content will be limited to the formats and capabilities made available by the applicable Service Provider. Certain content, including but not limited to images, fonts, templates, or other materials licensed from third parties, may be subject to separate licensing terms and may not be transferable or usable outside of the Service Provider’s platform.
Client acknowledges that the Website is part of a managed service offering and that certain functionality, integrations, and background services will not continue following termination. N2 Digital is not responsible for migration, recreation, or implementation of the Website on another platform but may provide guidance in its discretion.
You expressly agree and acknowledge that your use of the Services is subject to the entirety of our General Terms of Service, and specifically those sections governing N2 Digital’s Limitation of Liability, your obligations of Indemnification arising from or relating to your use of the Services, and the parties’ agreed-upon procedure for Dispute Resolution, including arbitration.
